
The Company was incorporated under the Company Act (British Columbia) on September 28, 1992 under the name 433034 B.C. Ltd. and changed its name to "Green Ice Corporation" on October 23, 1992. The Common Shares of the Company were consolidated on a five old for one new share basis effective January 29, 1999 and the authorized capital of the Company was increased to 100,000,000 Common Shares.
On March 3, 2000, the Company continued from British Columbia into the Yukon Territory and was authorized to issue an unlimited number of Common Shares without nominal or par value. Effective July 21, 2004, the Company continued out of the Yukon Territory back into British Columbia and its name changed from "International Green Ice Inc." to "IGC Resources Inc.". The Company is a reporting issuer in British Columbia and Alberta and trades on the TSX Venture Exchange under the symbol "IGC".
In December 2004, the Company purchased all of the ordinary shares of Goldport Pty Ltd ("Goldport") from Commercial Holdings Pty Ltd ("CHP") through the Company's wholly-owned subsidiary IGC (Aust) Pty Ltd. CHP is a private Australian corporation controlled by the Company's President, Clive Hartz, and the Company's CFO, Alastair Walker. Great Southern Resources Pty Ltd. ("GSR") granted an exclusive option to Goldport to sub-lease and sub-licence tenements held by GSR known as the Blackburn Gold Project and the Fraser Range copper/gold/uranium prospect (the "Properties") in Western Australia. Under this option, Goldport has exclusive rights to explore and develop the Properties for varying terms of up to 21 years from January 7, 2005. GSR is a private Australian corporation whose directors include Clive Hartz and David Holden. The Company's CFO, Alastair Walker, is the secretary of GSR. The Company's principal business activities are now the exploration, development and, if warranted, mining of the Blackburn Gold Project, exploration of the Fraser Range IOCG Project and, exploration of the UAROO Uranium/Copper/Gold Project, all located in Western Australia.
Management continues to seek and evaluate other mineral properties, with a view towards acquisition of one or more attractive prospects. Its primary focus is in gold, copper and uranium.
